Meeting Minutes - Wednesday, August 22, 2007
Present: EDA Board Members Ken Jacobson, Tom Skahen and Dale Wick.
Absent: Carolyn Yaggie-Heinen and AI Rassier.
Also present: St. Joseph Resident Mike McDonald, Finance Director Lori Bartlett and Cynthia
Smith - Strack of Municipal Development Grol-lp.
Chairperson Wick called the August 22, 2007 regular meeting of the St. Joseph EDA to order at
3:02 p.m.
Agenda.
Chairperson Wick introduced the agenda and noted accounts payable and the financial report
were not included. Moved by Skahen seconded by Jacobson to approve the agenda with the
addition of approval of accounts payable and the financial report. Motion carried 3-0.
Approval of Minutes.
Chairperson Wick introduced the minutes from the July 25, 2007 special meeting. Motion Skahen,
Second by Jacobson to approve minutes from the previous meeting. Motion carried 3-0.
EDA Accounts Payable.
Wick introduced the topic. Strack noted accounts payable for the month totaled $40,544.86
including first half TIF disbursements to TIF 1-3 and TIF 1-4.
Motion by Johnson, second by Skahen to approve the EDA accounts payable for the month of
July 2007 in the amount of $40, 544. 86. Motion carried 4-0.
Financial Report.
Wick introduced the agenda item. Strack noted the financial reports included in the packet were:
revenue, expense, check register and fund balance.
Motion by Wick, second by Skahen to approve the July financial reports as presented. Motion
carried 3-0.
Revolving Loan Fund Policy.
Chairperson Wick introduced the agenda item.
Strack noted that in the past the EDA has discussed the concept of revolving loan fund standards
and, although we have made progress on reviewing in the past the EDA has not finalized RFL
guidelines.
The EDA reviewed draft guidelines and the associated application. The EDA discussed the
purpose of the RFL which is to stimulate economic development by providing low interest loans to
small and medium sized businesses. Eligible loan activities include real estate and machinery
acquisition and costs associated with rehabilitation, reconstruction, installation of improvements,
utilities and infrastructure. Approval criteria include: demonstration of a gap in financing,
creation/retention of jobs, ability to increase/diversify the local tax base and consistency with the
City's business subsidy policy.
The EDA reviewed proposed application processing standards. Application processing is to begin
with a meeting with City staff. If the project meets program objectives and other eligibility items
the applicant is able to apply for RLF assistance. The application will require submittal of a project

description, a statement describing the nature of the business and proposed plans, sources/uses
proforma for the project, completed profit and loss statements for the previous two years (if
applicable) and projections for the next three years, personal financial statements and other
pertinent data.
Following the submission of a completed application the RLF policy called for review by the EDA.
As an alternative, a subgroup of the EDA could be established to review the appropriateness of
the level of assistance requested and make a recommendation to the full EDA which would then
review the request.
Members of the EDA present at the meeting requested additional information regarding the
potential for a sub-group review/recommendation to the EDA regarding appropriateness of the
level of assistance requested be brought to the next regular meeting for review.
Motion by Skahen, second by Jacobson to approve the revolving loan fund policy and application
conditioned upon review/approval of the establishment of a subgroup to review the request and
make a recommendation to the full EDA as to the appropriateness of the level of assistance
requested. Motion carried 3-0.
Strack was directed to bring sample language regarding the subgroup to the next regular EDA
meeting.
Review of City Website.
Wick introduced the agenda item and noted it was placed on the agenda at his request. Wick
noted some of the information relating to the EDA on the City website was outdated and in need
of updating.
Wick distributed examples of information requiring updating. Strack was directed to review
material posted on the City website and have the information updated. In addition Wick noted the
City Profile as listed on the MnPRO website was in need of updating. Strack was also direct to
update the community profile.
Next Meeting Date.
Wick introduced the agenda item and noted that he would not be able to attend an EDA meeting
if scheduled for Wednesday, September 19th. Wick inquired as to whether or not the regular
meeting could be delayed one week.
Motion Skahen, second Jacobson to move the next regular EDA meeting to 3 p. m. on
Wednesday, September 26h. Motion carried 3-0.
Board Member Reports.
Wick noted he attended the St. Cloud Area Economic Development Partnership meeting earlier in
the day. Wick noted that the 2007 audit was complete, that an annual job fair was coming up in
September and that a golf outing was planned for September and the EDA could add something
to a gift bag if they liked.
Wick announced that a preliminary plat for Parkway Industrial Park was approved and that new
urban industrial lots would be coming soon.
Adjournment.
Motion Skahen, second Wick to adjourn the EDA meeting. Meeting adjourned at 3:40 PM.

ST. JOSEPH ECONOMIC DEVELOPMENT AUTHORITY
REVOLVING LOAN PROGRAM
PURPOSE
The overall goal for the St. Joseph Economic Development Authority's (EDA's) Revolving Loan
Program is to stimulate St. Joseph's economy by providing low interest loans to small and
medium sized businesses. Revolving loan funds are to be used for business start-ups, expansion,
and retentions where jobs are created or retained. This may be accomplished by the following
means:
1. Creation or retention of permanent private sector jobs in order to create above average
economic growth;
2. Stimulation or leverage of private investment to ensure economic renewal and
competitiveness;
3. Increase in local tax base;
4. Improvement of employment and economic opportunity for citizens in the region to create
a reasonable standard of living;
5. Stimulation of productivity growth through improved manufacturing or new technologies.
ADMINISTRATION
The St. Joseph EDA and City Council are the policymaking and loan approval bodies for the
Revolving Loan Program. The EDA is responsible for revising guidelines and recommending
loan approval to the City Council. The City Council is responsible for authorizing loan. EDA staff
and their assigns will be responsible for day to day administration, working with applicants on
proposed projects, collecting data, performing pre-loan analysis, overseeing loan processing,
preparing agreements and monitoring projects progress.
ELIGIBLE APPLICANTS
Eligible applicants include most industrial businesses, commercial businesses and technological
service businesses.
ELIGIBLE LOAN ACTIVITIES
1. Loan funds may be used for acquisition of land and/or buildings(s), rehabilitation of
building(s), reconstruction, new construction, site improvements, utilities or infrastructure,
and purchase of industrial equipment in connection with starting a new business or
expanding an existing business.
2. Land and building must be privately owned, taxable property and proposed for
commercial and/or industrial activities.
3. If building(s) are being purchased or rehabilitated with funds from the Revolving Loan
Fund any/all building code violations must be remedied. The project must comply with the
St. Joseph City Code including standards relating to land use.
Revolving loan fund assistance can be for no more than one-half of the cost of the project.
Ineligible activities include the operation or expansion of a casino, sports facility when the
principal tenant is a professional sports team, housing projects and operating expenses.

APPROVAL CRITERIA
The grant or loan shall be based on the following criteria:
1. A gap in project financing is demonstrated.
2. The business must locate, remodel or expand within the corporate limits of the City of St.
Joseph.
3. The project will result in the creation or retention of existing jobs.
4. The project will result in an increase in tax base.
5. The project can demonstrate that the investment of public dollars induces private funds.
6. The project can demonstrate an excessive public infrastructure or improvement cost
beyond the means of the affected community and private participants in the project.
7. The project provides higher wage levels to the community or will add value to current
workforce skills;
8. Assistance is necessary to create new or retain existing businesses.
9. Job/wage goals must be consistent with the City of St. Joseph Business Subsidy policy.
SECONDARY LOAN ACTIVITIES
Loans may not be used for refinancing existing indebtedness or projects begun prior to loan
application.
LOAN TERMS/CONDITIONS
Financial assistance from the Revolving Loan Program is designed to make projects
economically feasible. Loan terms and conditions are determined by the information submitted in
the loan application. The following are the loan conditions:
1. Loan Amount - Maximum loan amount is 90% of the available RLF balances but shall at
no time exceed the gap demonstrated in project funding.
2. Interest Rate - The interest rate shall be set at the time of issuance and dependent upon
qualifications.
3. Term - Machinery/equipment: up to seven years. Land/buildings: up to 15 years. Terms
for other purposes will be flexible.
4. ~ - Each applicant must supply a minimum of 5% of the total project cost as cash
and/or fixed assets.
5. Security - The business owner will be required to provide personal guarantees for the
loan amount.
6. Proiect Initiation - All loan funds must be expended within six (6) months from the date of
the loan approval. An applicant may request a six (6) month extension.
7. Loan Fees - A processing fee of 1 % of the total loan amount is payable at closing.
Loans may be prepaid without penalty or additional charge.

The Revolving Loan Program is intended to be flexible and assistance is customized to meet the
particular needs of individual projects.
APPLICATION PROCESS
The City of 5t. Joseph shall process and administer each loan in a manner which is usual and
customary with regard to other loans under similar circumstances. The basic steps for securing a
loan are as follows:
1. Applicant meets with 5t. Joseph EDA staff to discuss proposed project and loan program
guidelines. If project meets program objectives and other eligibility items, then applicant
completes the attached application which includes:
A. Statement describing nature of business and proposed plans;
B. Project description - purpose of loan and expected benefits. Itemize and provide cost
estimate for building improvements and/or equipment;
C. Sources/Uses proforma for the project;
D. Complied profit and loss statement for the past two (2) years (if applicable);
E. Personal financial statement(s) (for use in connection with applicant's equity
requirement);
F. Any other pertinent data
2. A sub-committeecornprised of the St. Joseph Finance Director. a Member.of the
EDA al1dtheEDADirectorshallreview the application to determine whether o.rl1ot
it is complete. If theaoolication is determined to be complete. thesubc()l'11mittee
shall. formulate a . recommendation to. the full EDA. concerning. the flscal imoact (if
anv} on the Citv and the appropriateness of the amount of assistance reauested.
3. The 51. Joseph EDA will review the application and make a recommendation to the City
Council. Upon approval, a Development Agreement and all other necessary documents
in connection with the loan will be prepared by the 51. Joseph EDA staff and shall be
executed by the Director of the EDA. The City/EDA may work with a conventional lender
to review the creditworthiness of the applicant and the loan application.

Economic Development Plan was updated in March of

has a history as rich as the soils of the low-lying hills and
flat farmlands its German ancestors cultivated. The City
of 5,873 people features excellent educational
opportunities, abundant open spaces & recreational

educated labor force and room to grow.
St. Joseph is situated in west central Stearns County,
adjacent to Interstate 94, just ten minutes west of St.
Cloud. The City is approximately 70 miles from the
Minneapolisl St. Paul metropolitan area and is in U.S.
Congressional District 6 and Minnesota Legislative District
148.

Financial Incentives Available to Developers
The City is pleased to offer the following incentives to
qualified prospects.
Tax increment financing.
Tax abatement.
Local Revolving Loan Fund.
Sponsorship of Minnesota Investment Fund applications.
Minnesota Community Capital Foundation (MCCF)
Government
The City of St. Joseph functions under a Mayor/Council
and Administrator form of government. Regular Council
meetings are the first and third Thursdays of each month.
The mayor sEilrves a two-year term; the council members
serve four-year terms. The Council appoints the City
Administrator. The annual operating general fund budget
is nearly 2.5 million dollars.
Development proposals are reviewed, as required, by the
Economic Development Authority, the Planning
Commission and the City Council. A comprehensive land
use plan is in effect. The building code has been adopted.
The City has a fire insurance rating of seven. A thirty-
member volunteer fire department/rescue squad and the
St. Joseph Police Department provide public protection
services.
Education
St. Joseph is proud to be home to the College of St.
Benedict and in very close proximity to St. John's
University. The College and University were founded by
Benedictine religious communities and enjoy exceptionally
strong reputations. Their faculties and staff are mission-
driven and strive to balance intellectual, moral, spiritual
and physical aspects of personal development into their
curriculums.
Located just minutes away in St. Cloud are several more
institutions of higher learning including: St. Cloud State
University, St. Cloud Technical College, Rasmussen
College and Resource Training Solutions. Several other
educational institutions including Concordia University
offer access to classes in the St. Cloud area.
Recreational Opportunities
The City of St. Joseph features seven city parks with a
variety of amenities including playgrounds, picnic sites,
softball/baseball diamonds, camping, fishing and natural
areas.
The Lake Wobegon Trail, a 50-mile ten foot wide
bituminous trail traverses the City of S1. Joseph. The trail
accommodates bicyclers, hikers, walkers, runners, skaters
and snowmobilers. A trail/visitor's center is located near
the historic location of a former railway depot. The trail

center was designed to be reminiscent of the former

S1. Joseph features a number of service organizations
including the S1. Joseph Economic Development
Authority, Chamber of Commerce, American Legion and
Auxiliary, Jaycees, Women of Today, Lions Clubs,
Scouting, Snowmobile Club, VFWand the Historical
Society .
Health Care Services
The City of S1. Joseph is just minutes from the S1. Cloud
Hospital, part of Centra Care Regional Health System.
Locally, the City features one medical clinic staffed with a
team of Centra Care healthcare professionals providing
primary care with convenient access to specialty
medicine.
Two dental facilities are located within the City of S1.
Joseph along with chiropractic services. Arlington Place,
an assisted living facility is also located in the City of S1.
Joseph.
Transportation
Roadways
Interstate 94 is a four-lane interstate roadway bordering
the City. Average daily traffic (ADT) count estimates are
26,000 at the CSAH 2 interchange and 25,500 ADT at the
St. John's exit.
County State Aid Highway 75 is a four-lane roadway,
which runs east-west through the City. It serves as a
primary entrance corridor to the S1. Cloud metro area.
Traffic counts for CSAH 75 within the City are estimated at
22,500 ADT (between CSAH 133 & CSAH 2) and
15,100 ADT (between CSAH 2 & CSAH 3).
C.S.A.H 2 is a two-lane, 9-ton State Aid Highway within
the City with interchange access to 1-94 just south of the
corporate limits. Traffic counts are estimated 8,800 ADT
northeast of Interstate 94.
u.S. Highway 10, Minnesota 15 and Minnesota 23 are
major traffic routes located respectively 10, 8 and 5 miles
from the City. U.S. Highway 10 is a major arterial
connecting north and central Minnesota to the S1. Paul
area. Minnesota Highway 15 connects S1. Cloud and
Hutchinson. Minnesota 23 carries traffic across the state.
Trucking
Ten truck lines and two truck terminals are available within
the area.
Air
The S1. Cloud Regional Airport is located 15 miles from
the City of 81. Joseph. The 81. Cloud Regional Airport
features paved, lighted runways and supports charter and
freight traffic. Airlines at St. Cloud Airport include

include beacon, DME and VORlDME. The longest
runway is 7,000 feet.
The Minneapolis~St. Paul Airport is located seventy miles
southeast of St. Joseph. Airlines at MSP include
American, Delta, Northwest, Sun Country, United and US
Airways.
Shuttle service is available from St. Cloud Regional Airport
to Minneapolis-St. Paul International. Regional connects
are available from St. Cloud to MSP.
Utilities
The City of St. Joseph provides municipal water to the
community. In 2007 a new water treatment plant went
online with a treatment capacity of two million gallons per
day. Industrial water rates are $1.60/100 cubic feet but
subject to change. Water access charges apply.
Sanitary Sewer
The City of St. Joseph is connected to the St. Cloud area
sewer system. The system features a mechanical plant,
which has a capacity of 13,000,000 gallons/day with an
average demand of 9,500,000 gallons/day. Wastewater
(sewer) rates are $1.60/100 cubic feet but subject to
change. Sewer access charges apply.
Electrical
Stearns Electric Association and Xcel Energy Company
provide electrical service to the community and industrial
park. Business rates may be available.
Gas
Xcel Energy provides the City with natural gas services.
Telephone
Qwest and Comcast are local agent supplying the City
with telephone service.
Cable Services
Qwest and Comcast provide cable services to the City.

Downtown Revitalization
In May of 2005 a St.
Joseph Downtown
Committee began
investigating whether
or not support for a
long-term downtown
revitalization program
existed and potential
strategies to ultimately
achieve a successful
revitalization effort. The Committee's efforts culminated in
May of 2006 when the group presented a
recommendation to the St. Joseph Economic
Development Authority and the City Council to proceed
with a 15-year revitalization plan. The Committee
recommendation was approved and the revitalization
project authorized by the City Council on May 19th 2006.
The revitalization plan has been initiated with a $2.4
million mixed-use redevelopment project at 25 East
Minnesota Street bYG911egeville Communities bringing
retail storefronts and residential lofts to the heart of the
City.

The revitalization effort is framed in the context of a
national renaissance in downtowns and re-emergence of
traditional neighborhood design driven by a desire to
reconnect with the building blocks of community including:
shared history, hometown pride and small town
atmosphere. A vital downtown not only maximizes the
community's investment in infrastructure but it also brings
people into the community and retains people in the
community therefore benefiting other business owners
throughout the City. The revitalization strategy is different
from previous efforts because the revitalization plan is
based on an approach, which quickly transition project
responsibility to the private sector and community at-large.
The ultimate success of this strategy will rely on
organization of a critical mass of the community working
together for a common cause.
The revitalization plan includes the formation of four
distinct work groups who will be responsible for performing
the 'heavy lifting' associated with such a long-term
project. The four work groups include: a public environs
group, a promotions group, a resource development group
and an organizational group.

Downtown Committee is comprised of residents, business
merchants, representatives from City staff, the City
Council, the Historical Society, the College of St. Benedict,
the EDA and the St. Benedict's Monastery. In addition, the
Downtown Committee has reached out to the Chamber of
Commerce and local financial institutions in an effort to
build sustainable partnerships. In addition, the College of
St. Benedict has offered to partner with the revitalization
effort in providing financial assistance to conduct market
research and design studies.

Minnesota commercial real estate taxes are based upon market value of taxable property as set by the local assessor. To
calculate the tax for the current year, first compute the tax capacity by multiplying all property value up to $150,000
times .015, plus any value over $150,000 times .02. Example: net tax capacity on a $200,000 business property: ($150,000
X .015) + ($50,000 X .02) = $2,250 + $1,000 = $3,250. Tax capacity times the tax rate equals taxes owed. Commercial and

CSAH 75 Renewal
UPDATE: The following are excerpts from meeting minutes. It is noted some properties
in the renewal corridor have turned over and/or are to be auctioned:
November 2006
Vice Chairperson Carfbom introduced the topic. Strack noted the October EDA meeting, the EDA,
City Council and Planning Commission held a joint meeting to discuss a potential urban renewal
project on the comer of CSAH 75 and College Avenue. During the meeting the EDA received input
from members of the City Council and Planning Commission. Carlbom noted that some Council
and Commission members appeared to support moving forward with potential renewal plans.
Skahen agreed with Carlbom stating the EDA received some positive feedback, but at the same
time advice such as a suggestion to talk to property owners prior to investing too much time in the
project.
The EDA members suggested getting more in-depth information from business owners, seeing if
business owners are interested in relocating and getting some feed back from residents. After the
initial asking stage the EDA would likely have a better understanding of what the next step should
be. Car/bom requested that for December EDA meeting, staff should bring in contact numbers of
business owners/residents and names of resident within the specified area.
Januarv 2007
Chairperson Car/bom introduced the topic. Strack noted the EDA had directed her to
contact the owners of homesteaded property in the area adjacent to College Avenue and
Ash Street. Strack noted she had talked with a few property owners but many had been
unavailable for contact. Of those contacted most indicated they had no interest in sale of
property and most calls were met with skepticism and distrust.
Jacobson noted that opinions of property owners will likely change greatly over anyone
period of time as individual circumstances change.
Car/born noted he was to develop an article for the News/eader and could submit an
article requesting input from landowners adjacent to CSAH 75 regarding interest in
partnering for redevelopment.

Board members also directed Strack to contact the owners of rental property in the
renewal corridor regarding their thoughts on redevelopment potential.
February 2007
Car/bom introduced the agenda item. Strack noted that the EDA discussed feedback
from property owners in a selected area adjacent to CSAH 75 at the January meeting
and then directed Strack to consult with rental property owners to request input. strack
noted input included affirmation of the unwillingness of some property owners to consider
sale at this time and concern regarding market saturation from proposed commercial
developments such as Miff Stream Shops and a new multiple tenant facility near CSAH
75 and 8th Avenue. In addition, some feedback indicated the City would likely need to be
very active in reducing barriers to redevelopment. Car/bom noted Jacobson should be
present for the continued discussion as his insight would be especially pertinent.
Car/bom requested further discussion be continued to the next meeting, the Board
agreed.
. Downtown Revitalization
UPDATE: The Urban Environs Work Group developed sample design guidelines for the
downtown area. The design guidelines were approved by the Planning Commission following
a public hearing. The guidelines provide architects and draftpersons working on projects
within the Downtown a framework for facade/structure design. The Promotions Work Group
has been working on a marketing plan and website. The Organizational Work Group is
beginning an assessment of the project and recommending changes. The Resource
Development Group will be ramped up upon completion of goal setting/next steps.
. Update Economic Development Plan included in the 2002 Comprehensive
Plan.
UPDATE: This project was completed in March and April of this year. The amendment to the
Comprehensive Plan was approved by the City Council.
. Proactive communication with business owners.
UPDATE: The EDA mailed postcards and flyers to all business owners within the community
regarding results of the business retention and expansion program implemented at the close
of 2006. In addition the EDA mailed all business owners within the Downtown a copy of the
proposed design guidelines developed by the Urban Environs Work Group prior to taking the
matter to a public hearing. The EDA placed an advertisement in the St. Joseph Visitor's
Guide. The EDA required updating of EDA information placed on the City's website and the
MnPRO community profile. The EDA continues to participate in the St. Cloud Area Economic
Development Partnership. The SCAEDP developed marketing tools earlier this year.
. Architectural services grant program.
UPDATE: The EDA approved this grant program policy and guidelines earlier this year. The
program was included in the proposed 2008 budget. If the program remains in the final 2008
budget the program/guidelines will be brought to the City Council for approval.
Action:
Discussion and direction on 2007 goals and suggested changes is kindly requested.

Ddle Wick The applicant has since withdrawn his request for tax increment financing and cancelled his
purchase agreement for the property. The project not moving forward was due to circumstances
beyond the control of the applicant. The applicant did attempt to find alternate investors for the
project but was ultimately unsuccessful.
The Parkway Business Center final plat has not yet been submitted to the City. In speaking with
the developer's engineer the property owners are no longer contemplating installation of utilities
this fall but rather next spring. The applicant was notified of an Ordinance requirement specifying
final plat must be submitted within 120 of preliminary plat approval with the potential for a single
30-day extension.
