BOARD/COMMISSION/COMMITTEE RECOMMENDATION:
PREVIOUS COUNCIL ACTION: The City Council has accepted the Feasibility Report and
ordered the public hearing for the proposed new collector entitled Field Street.
BACKGROUND INFORMATION: Based on the feasibility report presented for Field Street, the City
will need to negotiate ROW for the road and associated ponds. The first step in this process is securing
an appraisal of the property. The City Attorney has contacted two appraisers, Ron Zitzow and Bill
Waytas, to check for availability and fees. Bill Waytas can complete the project by January 25 if he has
all the information no later than January 1 and the price is between S 700 - S 1000. As indicated on the
following map, 4 parcels are involved with total acres 7.22 A. The City Attorney will work with Waytas
and a ROW specialist from SEH to complete the task. Following this is also a supplemental agreement
for the ROW work for SEH
BUDGET/FISCAL IMPACT: S approximately 55,000, MSA Funding

the needed property for the extension of Field Street and authorize execution of the supplemental
agreement for SEH for ROW assistance.

Dear Mayor and Members ofthe Council:
This letter supplements the Agreement for Professional Services between the City of St. Joseph,
Minnesota, Owner, and Short Elliott Hendrickson Inc. (SEHO) dated July 1, 2006, and addresses
providing right-of-way acquisition services in connection with the 2016 Field Street Improvements
between College Avenue (CR 121) and the southerly extension of 7 th Avenue SE (hereinafter called the
"Project").
Our services will consist of providing right of way acquisition services for four parcels potentially impacted
bythe Project, all osset forth inthis letter and the Agreement for Professional Services between SEH and
the City ofSt. Joseph, Minnesota dated July 1. 2OOG.
Task 1: Right-of-Way Acquisition: Brod King, Real Estate Specialist and Real Estate Broker will provide
the following acquisition services:
• Attend one public information meeting, ifnecessary.
• Mail Early Notice ofAcquisition letters toall property owners.
• Commission title work for each parcel.
• Commission onappraisal for each parcel.
• Complete Field Title Reports.

Prepare and present offer letters.

Negotiate with owners osnecessary.
�
Prepare transfer documents approved byorprovided byOwner.
SEH understands that Owner will provide the following:

Deliver signed documents and files toCounty officials.
�
Filing ofconveyance documents.
�
Legal counsel services onbehalf ofthe Owner.

Additional Services:
The following services from SEH are not included in this proposal but, if required, can be provided to the
City ofSt. Joseph:
* Assistance to City Attorney in Eminent Domain proceedings.
We will also furnish such Additional Services as you may request or as required.
You will pay usofee for our services, currently estimated tobe $50,000, including expenses, in
accordance with Exhibit C-1. Rate Table Rate method.
Payment for additional services shall be based on the time required to perform the services and the
billable rates for the principals and employees engaged directly on the Project, plus charges for expenses
and equipment, all inaccordance with Exhibit C-1.
We will start our services promptly after receipt of your authorization. We estimate our services will be
completed after 4 months. If there are delays in the Project beyond our control, you agree to grant
additional time tocomplete the services.
Your budgetary limitations for construction of the Project should be provided to us in writing at an early
date. We will endeavor to work within those limitations. Where appropriate, if the estimated cost exceeds
the budget, we will either request an adjustment in the budget or suggest a revision in the extent or
quality of the Project to assist in bringing construction cost back within the budget. We do not guarantee
that our opinions of probable construction cost will not differ materially from negotiated prices or bids. If
you wish greater assurance as to probable construction cost or if you wish formal estimates, an
independent cost estimator should be employed osprovided inSection |V./\. ofthe Agreement and in
Exhibit B.
This letter and the Agreement for Professional Services dated July 1, 2006, along with Exhibits A, B, C-1,
and Drepresent the entire understanding between you and us in respect of the Project and may only be
modified in writing signed by both of us. If it satisfactorily sets forth your understanding of our agreement,
please sign the enclosed copy of this letter in the space provided below and return it to us.
