ECONOMIC DEVELOPMENT AUTHORITY Meeting Minutes - Special Joint Session with City Council Monday, May 12, 2003 Present: EDA 130ard Members Mike Deutz, Bruce Gohman, Ross Rieke and Tom Skahen. Absent: EDA Board Member Larry Hosch. Also present: City Council Members AI Rassier, Gary Utsch and Dale Wick, City Administrator Judy Weyrens, Outsource Management Representative Dean Wick, City Engineer Joe Bettendorf, Project Manager Jeff Baggenstoss and Vice President Steve Schultz from Shingobee Builders, Public Works Superintendent Dick Taufen, Wastewater Treatment Supervisor Jim Marthaler and Cynthia Smith-Strack of Municipal Development Group. Chair Deutz called the special EDA meeting to order at 5:06 p.m. The City Council meeting was called to order by Acting Mayor Utsch. Maintenance Facility Change Orders City Administrator Weyrens gave a brief update on an organizational meeting held on Friday, May 9, 2003 with representatives from the City and Shingobee Builders. The purpose of the meeting was to give Shingobee specific direction on what additional bid information was needed to proceed with change order review. At the meeting, the builder was directed to reinsert previously removed items including fencing and landscaping. - Baggenstoss then provided an overview of revised change order number seven which was distributed at the meeting. The revised change order indicates: four additional weeks of project management and field ~ supervision along with additional temporary facilities, testing, permits and insurance costs; site work including the ~xcavation of a 120' X 80' X 6' deep retention pond; water system installation; the installation of paving and pavement markings; landscaping of the site; fencing of the site; concrete work (curb & gutter, dumpster pad, bollards for dumpster pad); steel materials (bollards); and, mechanical and electrical changes. The revised change order totaled $148.088.00. Rassier and Rieke expanded on the possibility of removing the fencing and landscaping items from the contracted work. Deutz explained past discussions regarding landscaping being performed by the Public Works Department. Rassier requested comment on individual items included in the general conditions line item. Further discussion regarding the appropriateness of the itemized charges followed including, telephone, electrical, dumpster, permit, testing and surveying services. Weyrens indicated the City could waive the building permit fee for the maintenance facility affecting both the increased cost itemized in the change order and the original building permit fee for total savings of an estimated $4,600.00. Utsch questioned whether any portion of the bituminous surfacing could be removed from the contract and installed in conjunction with other street project(s). Weyrens indicated the City had previously discussed removing the asphalt from the Shingobee contract and installing it in conjunction with other street work, thereby generating cost savings and accessing other methods of payment. Weyrens indicated the water and sewer enterprise funds can be used to fund bonds for street/utility projects. Further discussion followed regarding fencing of the site. Baggenstoss indicated the low bidder for fencing was willing to honor the bid until November of this year. If the City contracts directly with the low bidder they could achieve cost savings of twelve percent which corresponds to Shingobee's increased overhead costs and bond/insurance costs. EDA Minutes - Special Meeting May 12, 2003 Page 1 CD . City Engineer Joe Bettendorf questioned the amount of granular fill needed to prepare the building pad. . Bettendorf indicated he would approve of slightly adjusting the proposed site contour to allow the excavator to skim additional base material from the site. Skahen questioned the total project cost's relationship to the proceeds of the bond. Weyrens indicated if the EDA and City Council approved the change order as presented City would have to identify an additional $74,069.00 to finance the project. Skahen clarified that the City, and not the EDA, was expected to identify additional resources which may include water and sewer enterprise funds and resources previously earmarked for parks. Skahen questioned what would occur if the EDA did not support approval of change order 7R. Weyrens clarified approval by both the EDA and City Council was required. Council member Wick indicated full denial of the change order would result in costs for storage of the building materials once they are delivered. Schultz indicated commitments from the sub-contractors would also be delayed if the change order were not approved. Additional discussion occurred with comments from Rieke, Utsch and Rassier relative to the removal of bituminous paving, fencing and landscaping from the contract and the waiving of building permit fees. Deutz inquired as to whether general conditions would decrease if the items were removed from the contract. Baggenstoss indicated work on-site could be reduced by one week for an additional cost savings of $1,800,00. EDA Board Member Skahen questioned whether a change order in the amount of roughly $100,804 would be acceptable for change order 7R. Deutz requested a summary of all costs associated with the project, assuming change order 7R remained at that amount. Weyrens reported site acquisition and assessments costs of $219,250; plus building costs of $381,750; plus a previous change order in the amount of $1 ,856 and the proposed change order 7R in the amount of $100,804. Asphalt paving, fencing and landscaping would be additional at time of installation. Strack noted zoning ordinance requires paving, fencing and landscaping in conjunction with the project. Gohman inquired as to additional fees for architecture and engineering. Wick indicated those costs were part of the original contract. Skahen asked about the total bond proceeds available for the project. Weyrens indicated proceeds were $654,734.81. Skahen confirmed the remaining shortfall would be covered by other City resources. Moved by Rieke, seconded by Skahen to approve change order 7R without asphalt paving, fencing and landscaping items for a change order 7R total of $100,804. Motion carried 4-0. The City Council entertained and approved a similar motion. Moved by Gohman, seconded by Skahen to adjourn the EDA meeting. Motion carried unanimously. ECONOMIC DEVELOPMENT AUTHORITY Meeting Minutes - Wednesday, June 18, 2003 Present: EDA Board Members Mike Deutz, Tom Skahen, Bruce Gohman and Larry Hosch. Absent: EDA Member Ross Rieke. Also present: Buettner Business Park owner Leo Buettner, Jerry Hettwer of Hettwer Realty and Cynthia Smith-Strack of Municipal Development Group. President Deutz called the regular meeting of the St. Joseph EDA to order at 4:05 p.m. Agenda. Moved by Gohman, seconded by Skahen to approve the agenda. During discussion of motion Deutz requested item 6(b) (Marketing Agreement - Buettner Business Park) be moved up on the agenda immediately following approval of minutes. Motion carried 4-0. Minutes. Moved by Gohman seconded by Skahen to approve the minutes from the special EDA meeting held May 12, 2003. Discussion followed regarding the accuracy of calculations included in the minutes. Motion withdrawn. Moved by Gohman seconded by Skahen to table the minutes of the May 12, 2003 Special EDA/CC Joint Meeting for comparison with the City Council meeting minutes. Motion carried 3:0 with Hosch abstaining. Moved by Gohman seconded by Skahen to approve the minutes of the May 21, 2003 EDA meeting as - presented. Motion carried 3:0 with Deutz abstaining. ~ Marketing Agreement - Buettner Business Park. Strack provided an overview of the marketing agreement for Buettner Business Park, including the term of the agreement and the pricing outlined within Exhibit B of the agreement. The agreement requires approval by the EDA and the Property Owners (Gloria & Leo Buettner) prior to increasing the price of the land. Strack further addressed a request from Mr. Buettner and Mr. Hettwer to the EDA, which noted that due to carrying costs, surveying and replatting costs, a price increase is needed. Strack indicated Mr. Buettner and Mr. Hettwer were present to request a formal price increase. Mr. Hettwer distributed a proposal on behalf of Gloria and Leo Buettner. The proposal requested consideration of the extension of the marketing agreement between the EDA and the Property Owner for an additional year (through September 27,2004). The proposal also included price increases as follows: Lot 1, Block One Buettner Business Park (8.31 acres): $1.00/square foot Lot 1, Block One Buettner Business Park Two (3.34 acres): $1.00/square foot Lot 1, Block One Buettner Business Park Three (3.03 acres): $1.25/square foot Lot 2, Block One Buettner Business Park Three (3.0 acres): $1.25/square foot The prices noted were proposed to be effective from June 19, 2003 through December 31, 2003 with an additional review of pricing at that time. Hosch requested discussion as to whether or not the EOA President would have a conflict of interest on the pricing structure, Deutz excused himself and turned the meeting over to Vice Preside~t Hosch. Gohman indicated several events had transpired since the advent of the marketing agreement. Among them the securing of a commercial realtor by Mr. Buettner, a change from City-employed EOA staff to consultant EDA staff and several re-subdivisions of lots in the industrial park. EDA Minutes - June 18, 2003 Page 1 (i) Buettner indicated he felt the final sewer assessment was "forced on him" and he now had additional . costs associated with the installation of utilities. Gohman commented that personally he did not believe pricing of the land was an EOA issue. He felt Mr. Buettner should be free to charge what he believes the property is worth. Gohman indicated he felt the EOA and Mr. Buettner needed to decide how to proceed. Gohman commented that dual representation of the property by a commercial realtor and the EDA staff could become confusing to development contacts. He also questioned the use of EOA resources to double up on a service provided for a fee by a commercial realtor. Hettwer indicated that he and Leo wished to extend the agreement because the development process includes approval by the EDA, the Planning Commission and the City Council. Gohman again commented that how to proceed, either to continue or cancel the marketing agreement, was his concern. Hettwer expressed a desire to continue working with the EDA through a marketing contract. Hettwer and Buettner exited the meeting for discussion. Hosch commented that the price of the lots would impact the city's desire to diversify its tax base. He indicated the proposed prices would increase development costs by either $12,642/3-acre parcel (for lots at $1.00/sq. ft) or $50,028/3-acre parcel (for lots at $1.25/sq ft). Hosch indicated a survey conducted on area industrial land prices a little over a year ago showed the current price to be moderately high. Hosch also expressed concern for existing contacts and how they would be informed of price changes. Hosch suggested more information be compiled by EOA consultants relative to the current market rate for industrial land. - Skahen commented that he felt he needed more information and time to review that information prior to making a decision on the matter. - -Hosch also expressed an interest in receiving information on comparable pricing. Hettwer and Buettner returned to the meeting. Moved by Skahen seconded by Hosch to table the díscussíon untíl June 25, 2003 or July 1, 200, at whích tíme a specía/ EDA meetíng would be held. Motíon carríed 3:0 wíth Deutz abstaíníng. Vice President Hosch turned the meeting back to President Deutz. EDA Accounts Payable. Strack provided an overview of accounts payable including a Minnesota Investment Fund (MIF) loan disbursement of $42,000 to St. Joe Development, LLC for the Vicwest equipment purchase and MDG contract in the amount of $1 ,859.55. Moved by Skahen seconded by Hosch to approve the EDA accounts payable ín the amount of $43,859.55 as presented. Motíon carríed 3:0 wíth Gohman abstaíníng. Financial Report Strack provided a brief overview of the financial report, including the transfer in and out of funds for the contribution to the Minnesota Community Capital Fund. Moved by Hosch, seconded by Skahen to approve the EDA fínancíal report. Motíon carríed 4:0. High Speed Data Line EDA Minutes - June 18,2003 Page 2 ~ . . Strack provided an update on the installation of high-speed data lines in the industrial areas of the City. A meeting with Astound and industrial property owners has been set for June 25, 2003 at City Hall at 9:00 a.m. Meeting notices had been mailed to 21 property owners. Gohman indicated Qwest had recently installed or was in the process of installing a 900 pair cable in the Elm Stréet right-of-way. Gohman suggested EDA consultants place remainder phone calls to all property owners invited to the event. . Business Questionnaire. EDA members discussed the questionnaire developed to receive input from developers on the economic development, planning and administrative processes in St. Joseph. Strack noted of the initial 18 surveys mailed, four had been completed and returned to the City. Survey results were addressed briefly. Strack indicated MDG had identified an additional 38 contact to which the survey could be mailed. Moved by Gohman, seconded by Skahen to authorize and direct staff to mail the updated survey to remaining contacts. Motion carried 4-0. Change Order - Maintenance Facility Strack reviewed a change order in the amount of $65.00 for the Maintenance Facility. The change order was drafted at the direction of City staff. The change order was for the furnishing and wrapping of 14 transition strips of wainscoting from the front of the building to the east and west ends of the building. Board members expressed a concern as to the processing of change order requests. Moved by Gohman, seconded by Hosch to approve the change order and to clarify the change order approval contract with the City's representative for the project. Motion carried 4-0. - Prospect List/Activity Report. ~ A report outlining communication with various contacts was included in the EDA's packet. A brief overview of several projects was provided. Board Member Reports. The EDA briefly discussed a letter sent to the EDA President from the Executive Director of the St. Cloud Area Economic Development Partnership. The letter requested consideration by the City of a joint membership to the Partnership shared by the College of St. Benedict, St. John's University and the City of St. Joseph. EDA members requested clarification of the fiscal impacts of the 2003 legislative session on the City's financial resources. City Administrator Weyrens joined the meeting and explained the impact of local government aid reductions. Following the budget discussion the EDA directed EDA consultants to prepare a response to the correspondence noting the City did not have financial resources available to participate even at a reduced level. Deutz expressed a concern of inconsistency in the application of the zoning code. Hosch indicated he would report on the matter at the upcoming Council meeting. Hosch informed the EDA of a decision by the City to review how building permits are processed. Weyrens announced a meeting with City Attorney Tom Jovanovich on Wednesday, June 25th at 7:00 p.m. at City Hall to discuss various land use issues and review request issues. Also present: Buettner Business. Park Property Owner Leo Buettner, Jerry Hettwer of Hettwer Realty and Cynthia Smith-Strack of Municipal Development Group. President Deutz called the regular meeting of the St. Joseph EDA to order at 4:03 p.m. Agenda. Moved by Skahen, seconded by Rieke to approve the agenda. During discussion of motion Deutz requested a brief review of background material prior to discussion of a marketing agreement for Buettner Business Park. Motion caITied 5-0. Review of Background Information - Buettner Business Park Marketing Agreement Strack reviewed the history of the agreement between Gloria and Leo Buettner and the St. Joseph EDA for the marketing of the industrial lots in Buettner Business Park. Strack reviewed the contract terms, pricing and agreement expiration. President Deutz recused himself and Vice President Hosch became the presiding officer at 4:15. Strack presented information regarding pricing of industrial lots within the St. Cloud area. Strack supplemented the memo included in the information packet with lot prices in Waite Park and Sauk Centre. ~ - Marketing Agreement - Buettner Business Park Mr. Hettwer distributed a proposal on behalf of Gloria and Leo Bt,lettner. Vice President Hosch expressed a desire to not limit the property owner's pricing of acreage, and concern for notifying current contacts regarding a pending price increase and expiration/termination of marketing agreement. Hosch suggested an informational mailing 30 days in advance of the price increase to current industrial contacts. Hosch expressed an interest in allowing the marketing agreement to expire on September 27, 2003. Board Member Skahen indicated the marketing agreement allows the property owner and/or the EDA to terminate the agreement effective 30 days after receiving written notice. Skahen indicated if the property owner wished to increase lot prices sooner than September 28, 2003 he could provide written notice of intent to terminate the agreement and be free to increase lot prices in 30 days. Skahen also expressed an interest in notifying current industrial leads the EDA has been interacting with via mail regarding a pending price increase. Board Member Rieke asked the property owner for input. EDA Minutes - July 1. 2003 Page 1 G: Buettner said he felt utility improvements were forced upon the park and indicated his tax and . assessment outlay for the year exceeded $77,000. Buettner expressed a desire to re-coop his holding costs. Rieke asked for clarification as to the difference a lot price at 0.85 per square foot vs. $1.00 and $1.25 per square foot. Strack indicated the minimum lot size in the park was 3 acres, therefore, a prospect's costs would increase between $17,358 and $50,028 per lot. Skahen indicated a desire to allow the agreement to lapse in September 2003. Hettwer indicated their was not an advantage to holding the property. Moved by Skahen, seconded by Gohman to continue marketing agreement as is and allow it to expire on September 27, 2003. Motion carried 4-0, WITh Deutz abstaining. Gohman and Deutz exited the meeting at 4:33 p.m. Discussion occurred regarding notification of current industrial leads of the pending price increase and expiration of marketing agreement. Moved by Skahen, seconded by Hosch to authorize Hosch and Rieke to determine WITh input from Hettwer and Buettner the content of a letter to current industrial leads being facilitated by the EDA. All in favor voted to approve. Motion carried 3-0. Adjournment ~ Moved by Skahen, seconded by Hosch to adjourn. Project 01-J: This developer owns a commercial subdivision in St. Joseph and is constructing a commercial building. MDG has been working with the developer and has forwarded potential business leads including 03-1 who is looking for 5,000 sq. ft. The developer currently has 2,400 sq. feet leased and 7,360 sq. feet available. The last contacts with the developer were made on 25th. Project 01-1 met with this developer regarding land/building on July 9th. Project 01-N: This commercial business is considering the construction of a 3,000 square foot office facility in St. Joseph. The company is looking at other commercial lot options in the city and other communities. MDG followed up most recently on June 18, 2003 and July 1, 2003. Project 02-E: This business has been considering an expansion for approximately 18 months, but has placed the project on hold, due to the economy. On July 8th, MDG sent the contact a letter regarding the pending increase in prices for lots in Buettner Business Park. Project 02-L: This company plans to construct a 16,000 square foot multi-tenant building in St. Joseph business park beginning in August, 2003, with plans for an additional 16,000 square feet in the future. The City Council reviewed and approved plans on June 19, 2003. MDG followed up with the company on July 9th regarding several potential tenants for the other bays in the building. The company has recently retained a commercial realtor to assist as well. EDA Monthly Project Report -July, 2003 Municipal Development Group - Page 1 0 Project 02-P: This business expressed a need to expand in May, 2003. MDG has been working with the company . over the past year and has provided information on available commercial sites. The company has some immediate space needs and long-term (2 Y2 year) plans for a larger space. They are also looking at the City of Avon. The most recent follow-up occurred on June 11, 2003. The contact indicated they plan to retain their business in St. Joseph for the next 2 years, but found additional lease space in Avon. Project 02-R: This business has been working with MDG since June, 2002 to identify sites for a 7,000 square foot building. The company has been finalizing their business plan and financing. MDG followed up on June 18th. The company is currently in a 5-year lease but is interested in a 3.343 acre parcel in Buettner Business Park. MDG contacted the realtor for the park on June 25, 2003, who indicated the interest in land is 3-4 years out. MDG sent the contact a letter on July 8th regarding pending increases in lot prices in Buettner Business Park, effective August 8, 2003. Project 02-Y: This prospect contacted MDG on October 7, 2002 regarding new construction in the Buettner Business Park. MDG has had numerous follow-up conversations with the company and supplied information requested on other sites. MDG's followed-up on June 25, 2003, sent a letter regarding price increases in Buettner Business Park on July 8th and left a message for the company contact on July 9th, Project 02-AA: This prospect closed on a lot in the business park in early February, 2003. MDG last followed up on June 18, 2003. Spring 2004 construction is anticipated. Project 02-CC: This prospect contacted MDG on November 22,2002 regarding available acreage within the Buettner - Business Park for a 9,200 square foot facility. MDG followed-up most recently sent a letter on July 8th - informing the company of the pending price increases in Buettner Business Park, effective August Sth. Project 02-DD: This contact inquired about residentail and commercial/industrialland in the community in December, 2002. MDG has followed up several times since, including the most recent letter on July 8th regarding increases in prices of lots in Buettner Business Park, effective August 8th. Project 03-EE: This developer is planning to construct a restaurant this summer with opening anticipated this fall. Project 02-FF: This developer contacted the City on December 26, 2002 regarding the S.31 acre parcel in the Buettner Business Park. EDA staff has followed up with this contact on several occasions including a letter most recently on June 25, 2003. The business is still interested in an industrial lot in Buettner Business Park. MDG also sent a letter and contacted the business on July 9th regarding the price increase and noted the realtor for the business park would be contacting him. The contact noted they are finishing a building in another community at this time and did not anticipate construction in St. Joseph in calendar year 2003, but possibly next year depending on the economy. Project 03-A: These developers are interested in a large highway commercial development in an area not yet annexed into the City. MDG has been working with them over the past several months. Follow-up correspondence most recently occurred on June 1ih, 25th, 26th, July 1st (meeting), July 2nd and 3' . The developers plan to attend the July EDA meeting. MDG has followed up with the company on a number of occasions since. On June 25, 2003 the company indicated that they recently purchased land in Industries West Business Park in St. Cloud. Project 03-H: This company planning to close on 4.0 acres of industrial land in Buettner Business Park on Friday, June 27,2003. The Council reviewed the plans on June 19,2003. MDG spoke to the new business owner on June 25, 2003. He noted the process has gone well and he is pleased to be locating in St. Joseph. Project 03-1: This company is interested in 5,000 square feet of existing retail space - to lease. They initially contacted the City on April 21st, 2003. MDG has forwarded the company information on three potential buildings. Follow-up occurred on June 11th. The company representative noted that rent prices are too high for required lease terms, and that it would be too risky at this time. They requested a follow-up in a few months. Contact 01-J contacted the company on June 25th. Project 03-J: This company inquired about the former Vicwest Building. MDG attended a meeting with a company representative and a realtor for the building on April 30th. Follow-up by MDG occurred most recently with the realtor for the building on June 18thj and 26th as well as July 9th. On June 25th twelve people toured the building. This was the company's third visit to the site. The company is evaluating purchasing an existing building versus building new. A decision is expected soon. Project 03-K: . This contact requested information from MDG on starting a business and zoning regulations in the Central Business District, on May 2nd. MDG sent the contact a book from DTED "A Guide to starting a business in MN" along with an excerpt from the zoning ordinance. MDG followed up most recently on June 25,2003. Project 03-L: This contact initially contacted the city in May, 2003 regarding lots in Buettner Business Park. MDG most recently sent a letter on July 8th regarding the pending increase in lot prices in Buettner Business Park, effective August 8th. Project 03-M: MDG met with two business people interested in leasing the former Tom Thumb building for a recreational use, on May 14th. EDA Board Members expressed a . willingness to, at some point in time, investigate the possibility of purchasing a portion of the property for the development of an industrial park. The EDA did note the area is not contiguous with existing urban areas and is within the ten to twenty (10-20) year annexation area. The City and Township are currently in year six (6) of tne annexation agreement. St. Joseph Planning Commission Meeting - June 2, 2003 The Planning Commission informally discussed, in general terms, the future use of the entire property, especially as related to the eastern portiori of the property. The Planning Commission noted they may be willing to further discuss options for future land use, including the establishment of a transitional zone on the eastern portion of the property to minimize the incompatibility between annexation areas guided for future St. Joseph industrial expansion and residential areas within St. Cloud's Westwood development. In closing, as you are aware the property is within the 10-20 year annexation area and currently guided to future industrial development. The area is also not contiguous with the existing St. Joseph urban area.
