They master planned the entire area and it included a mix of housing. At this time the City and Arcon agreed on the required parkland contribution and it included dedicating two areas for park, one by the River and the second in the north west corner. In 2007 the City entered into a MOU allowing the school to be constructed on a portion of the property and acknowledged again how the parkland requirement was fulfilled, therefore no parkland was required for the school. BACKGROUND INFORMATION: The City has maintained since 2005 that the property near the Sauk River that was designated for Parkland would be required as the development started adding living units. When Cory Ehlert/Brian Virnig developed a section of patio homes included in the Arcon Plat the City again reiterated that we would not charge a park dedication fee for Ehlert, rather it was taken care of with the previous agreement. At this time the City has been approached by a developer that is purchasing approximately 125 acres of the property. During discussions with the developer and representatives staff indicated that the City would require conveyance of the park with the current proposed development. Therefore, a proposed MOU has been forwarded to the holding company owning the property outlining the terms of the agreement. The holding company has agreed to convey the property but wanted clarification that they have fulfilled their agreement. At this time we don’t have final comments from the holding company but expect them shortly. In addition to the Parkland, the agreement required some improvements which at this time we are recommending they be relieved, only placed in the future as an obligation. ATTACHMENTS: Request for Council Action MOU with exhibits REQUESTED COUNCIL ACTION: Authorize the Mayor and Administrator to execute the third MOU for the Arcon Development, conveying Outlot L, Rivers Bend to the City to fulfill the parkland only requirement. This page intentionally left blank 1 ______________________________________________________________________________ THIRD MEMORANDUM OF UNDERSTANDING REGARDING DEVELOPER AGREEMENT BETWEEN ARCON DEVELOPMENT, INC. AND CITY OF ST. JOSEPH This Third Memorandum of Understanding is entered into this ___ day of March, 2016, by and between the City of St. Joseph, a Minnesota municipal corporation (hereinafter the “City”), and First RE Holdings LLC., an Iowa Limited Liability Company authorized to transact business in the State of Minnesota (hereinafter “First RE Holdings”) successor in interest of Arcon Development Inc. Recitals: 1. Arcon was the Developer of certain Real Property which is legally described as Rivers Bend, a plat on file and of record in the office of the County Recorder in and for Stearns County, Minnesota, and attached as Exhibit A, (hereinafter called the “Property” or “Development” or “Development Property); 2. Arcon has submitted a preliminary plat and PUD application for the entire property entitled Rivers Bend PUD, which has been approved by the City; 3. Arcon and the City have entered into the following agreements with respect to the phased development of the Property: Developer Agreement, dated July 11, 2005 (hereinafter “Developer Agreement”) Memorandum of Understanding, dated July 11, 2005 (hereinafter “MOU #1”) 2 Memorandum of Understanding, dated February 13, 2006 (hereinafter “MOU #2) 4. The Developer Agreement and MOU #1 and MOU #2 provided for development of the property in numerous phases. Certain portions of the Property have been sold off for development as residential homes and as a school site; 5. First RE Holdings intends to sell approximately 125 acres to CM ST. JOE, LLC to be developed as a residential PUD development to include lifecycle housing (senior). The property being purchased includes: Outlots A, B, C, D, E, F Rivers Bend, Stearns County Minnesota (See attached Exhibit A); 6. First RE Holdings agrees to convey certain parkland to the City and satisfy only its land contribution requirements for the parkland dedication requirements under the Developer Agreement, MOU #1 and MOU #2; 7. The City and First RE Holdings desire to memorialize all of the understandings between the parties regarding the Development, and the terms which will apply to all future phases of the development of the Property. NOW, THEREFORE, in consideration of the mutual covenants expressed herein, IT IS HEREBY AGREED AS FOLLOWS: 1. The Property to be sold to CM ST. JOE, LLC and developed as a residential PUD development comprises approximately 125 acres as set forth on Exhibit A. Prior to development of the property, CM ST. JOE, LLC shall be required to subdivide the property pursuant to the current subdivision regulations of the City and enter into a Developer Agreement with the City prior to developing the property as a residential site. 2. Prior to conveyance of the property to CM ST. JOE, LLC, First RE Holdings shall convey by warranty deed to the City Outlot L containing approximately 94.83(See attached exhibit A) acres for park purposes. 3. First RE Holdings agrees to construct a temporary gravel parking lot, grading for the canoe access road, access road, and grant the City a public easement for ingress and egress and use of the temporary parking lot for Sauk River Park as set forth in paragraph 4 of MOU #2. In addition, First RE Holdings agrees to provide a paved entrance road with a minimum width of 24 feet with curb and gutter and a paved parking lot (with perimeter curb and gutter) at a location and size to be determined by the City by ___, ________, 20__ as set forth in paragraph 4 of MOU #2. 4. The conveyance of the park property described in Paragraph No. 2 above and completion of the work on the park as set forth in Paragraph No. 3 above shall satisfy all the park land dedication requirements for the property described in Exhibit A and shall specifically relieve First RE Holdings from conveying Outlot 3 D as park property to the City. All other terms in the Developer Agreement, MOU #1 and MOU #2 shall remain in full force and effect. 5. Binding Effect on Parties and Successors. The terms and provisions of this Third Memorandum of Understanding shall be binding upon and accrue to the benefit of the heirs, representatives, successors and assigns of the parties hereto and shall be binding upon all future owners of all or any part of the Development and shall be deemed covenants running with the land. This Agreement, at the option of the City, shall be placed on record so as to give notice hereto to subsequent purchasers and encumbrances of all or any part of the Development. 6. Integration. This Third Memorandum of Understanding and the Developer Agreement, MOU #1 and MOU #2 contain all of the understandings and agreements between the parties. These agreements may not be amended, changed or modified without the express written consent of the parties hereto. 7. Execution in Counterparts. This Agreement may be executed in any number of counterparts, each of which shall constitute one in the same instrument. 8. Governed by Minnesota Law. This Agreement shall be interpreted under the laws of the State of Minnesota. 9. Representation. Jovanovich, Kadlec & Athmann, PA represents the City with regard to this Agreement. First RE Holdings is hereby advised to seek independent legal advice prior to execution of this Agreement.
