MEMORANDUM TO: APO Policy Board FROM: Dorothy Sweet, Administrative Assistant SUBJECT: Annual Meeting DATE: May 12, 2016
Background APO by-laws require the convening of an Annual Meeting to certify representatives from APO member units of government and to elect officers. This meeting is structured as a separate agenda item following the business of the regular May Policy Board meeting.
a. Certification of Representatives APO by-laws stipulate that member units of government must certify representatives at the Annual Meeting for a one-year term. On Friday, April 29, a list of the representatives on the APO Policy Board and their attendance record was sent to the Executive Board members for review to determine if Policy Board membership changes needed to be made in their jurisdiction based on the APO by-laws attendance requirements.
APO by-laws state that at all times, APO representatives from a given member unit of government must be 60 percent elected officials. Non-elected representatives may not be staff from an APO member jurisdiction. New or changed representatives need to provide the APO with contact information including mailing address, email address, and telephone number(s).
Attendance Requirements APO by-laws also include attendance requirements for APO representatives. Appointed representatives are required to attend at least fifty percent of all regular meetings duly called by the APO during the term of appointment. By-laws require attendance records to be kept and annually reported to APO member units. In order to fulfill this requirement, Policy Board attendance records are attached for Executive Board members. Should a representative fail to attend at least fifty percent of all regular meetings, or if a representative misses three consecutive meetings without prior notification, that representative is considered to have resigned, subject to re-appointment.

Requested Action Certification of APO member jurisdiction representatives for the period of May 2016 to May 2017.
b. Appointment of Officers APO Officers include Chair, Vice-Chair, Secretary and Treasurer. Officers shall serve for a one-year term and no Officer may serve more than two consecutive terms in any one office. Officers assume office upon their election at the Annual Meeting. The Annual meeting election is for the regular one-year term from May 2016 to May 2017.

Chair Mayor Rick Schultz, City of St. Joseph, 2 terms served as Chair (Chair since May 2014) Mayor Rick Schultz will be stepping
down from the Chair position.
Vice-Chair Mayor Brad Gunderson, City of Sauk Rapids, (Vice-Chair since Feb 2015) Mayor Brad Gunderson will be moving up to the Chair
position.
Secretary Councilmember Jeff Goerger, City of St. Cloud, (Secretary since Feb 2015) Councilmember Jeff Goerger will be moving up to the
Vice-Chair position)
Treasurer Commissioner Mark Bromenschenkel, Stearns County, (Treasurer since Feb 2015) Commissioner Mark Bromenschenkel will be
moving up to the Secretary position)
At the April 14, 2016 Executive Board, the members nominated Mayor Bob
Kroll for the Treasurer position.
Requested Action Election of APO Officers for the period of May 2016 to May 2017.
