PREVIOUS COUNCIL ACTION: The Council considered expanding the 2019 Street Improvement Project to
include the north/south east/west alley between 1St Ave NW and 2nd Ave NW. The engineer was requested to submit
the cost for preparing the feasibility report.

REQUESTED COUNCIL ACTION: If the desire of the Council is to add the alley area to the 2019 Street
Improvement,a motion would be required to authorize the City Engineer prepare the feasibility report

Dear Mayor and Members of the Council:
This letter supplements the Agreement for Professional Services between St. Joseph, Minnesota, Owner,
and Short Elliott Hendrickson Inc. (SEH®) dated July 1, 2006, and addresses providing services in '
connection with utility and surfacing improvements for the alleys bounded by 3rd Ave NW, 1St Ave NW,
Ash St, and Minnesota St W in the St. Joseph Addition, bituminous parking lot improvements at the
baseball field pavilion at 3rd Ave NW, crosswalk improvements on the north side of the Birch St W and 2nd
Ave NW intersection, and pavement resurfacing improvements on Jade Road between the entrance to
Kennedy Elementary School and the City limits at 1-94 (hereinafter called the"Project").
Our services will consist of conducting a study and investigation, preparing a consolidated feasibility
report with the 2019 Bituminous Street Improvements containing the findings of the study and
investigation along with our recommendations for the Project, preparing an opinion of probable cost for
the Project, and calculating preliminary special assessment rates, all as set forth in this letter and the
Agreement for Professional Services between SEH and St. Joseph, Minnesota dated July 1, 2006.
We will also furnish such Additional Services as you may request or as required.
You will pay us a fee for our services, currently estimated to be$17,725.00, in accordance with Exhibit C-
2, Lump Sum Basis method.
Payment for Additional Services shall be based on the time required to perform the services and the
billable rates for the principals and employees engaged directly on the Project, plus charges for expenses
and equipment, all in accordance with Exhibit C-1, Hourly Basis method.
We will start our services promptly after receipt of your authorization. We estimate our services will be
completed after three(3) months. If there are delays in the Project that are beyond our control, you'agree
to grant additional time to complete the services.

Your budgetary limitations for construction of the Project should be provided to us in writing at an early
date. We will endeavor to work within those limitations. If you request, we will submit periodic estimates of
cost to give you our opinion of the probable cost of the Project.Where appropriate, if the estimated cost
exceeds the budget,we will either request an adjustment in the budget or suggest a revision in the extent
or quality of the Project to assist in bringing construction cost back within the budget. We do not
guarantee that our opinions of probable construction cost will not differ materially from negotiated prices
or bids. If you wish greater assurance as to probable construction cost or if you wish formal estimates, an
independent cost estimator should be employed as provided in Section IV.A. of the Agreement and in
Exhibit B.
This letter and the Agreement for Professional Services along with Exhibits C-1 and C-2 dated July 1,
2006, represent the entire understanding between you and us in respect of the Project and may only be
modified in writing signed by both of us. If it satisfactorily sets forth your understanding of our agreement,
please sign the enclosed copy of this letter in the space provided below and return it to us.
