BOARD/COMMISSION/COMMITTEE RECOMMENDATION: The EDA has been working on
creating shovel ready industrial lots and the City Council has previously authorized the eminent domain
process for securing the needed ROW from CR 133.

Dear Mayor and Members of the Council:
This letter supplements the Agreement for Professional Services between the City of St. Joseph,
Minnesota, Owner, and Short Elliott Hendrickson Inc. (SEH®)dated July 1, 2006, and addresses
providing Final Design Phase services for the Phase 1 area(approximately 51.5 acres as shown on
Exhibit No. 1)for the 2018 Industrial Park East Improvements (hereinafter called the"Project").
Our services for the Project will consist of the following as set forth in this letter, and the Agreement for
Professional Services between SEH and the City of St. Joseph, Minnesota dated July 1,2006.
1) Prepare final design documents based on the approved development concept illustrated on
Exhibit No. 1.
a. Analyze the pumping capacity at the DBL Labs Pump Station to accommodate flows from
the proposed industrial park. If necessary, prepare design requirements for impeller
upgrades to the two pumps.
b. Prepare final street and utility drawings for construction of public bituminous street,
sanitary sewer,water main, storm water collection and treatment improvements.
Construction drawings will include a cover sheet, standard construction details, pavement
typical sections sheets, plan and profile sheets for streets,water main, sanitary sewer,
and major storm drains, grading, and erosion control and turf establishment
requirements.
c. Prepare project manual with technical specification requirements for the design.
d. Review Construction Documents with Owner's staff.
e. Deliverables: One(1)Adobe Acrobat electronic copy and three(3)paper copies of
Construction Documents that will include 11"x17"drawings and project manual.
2) Provide assistance calculating the final special assessment worksheet for the improvements.
Assistance does not include providing legal counsel or appraisal services related to measuring
special market value benefits associated with the Project.
3) Provide assistance with preparing and submitting regulatory agency permit applications.
a. Anticipated permits: MPCA NPDES application and Storm Water Pollution Prevention
Plan(SWPPP), MPCA Sanitary Sewer Extension, MDH Water Main Extension, and the
Stearns County Utility Right of Way and Access permits, Sauk River Watershed District
Permit.

4) Prepare final Engineer's opinion of probable construction cost.
5) Provide assistance receiving bids and negotiating a construction contract with the successful
bidder.
a. Prepare proposal form and notice to bidders.
b. Answer pre-bid questions from bidders.
c. Attend bid opening at City of St. Joseph.
d. Review and tabulate bids received by the Owner.
SEH understands that Owner will provide the following:
• Payment for permit application fees to agencies having jurisdiction over the Project.
Assumptions:
• City of St. Joseph will provide SEH with any other studies, reports, plans, plats, or other data that
may be of assistance.
• The Phase 1 development area is upland, and a wetland delineation and field survey of wetland
boundaries across the site will not be necessary.
• Due to limitations in the available right of way,the City of St.Joseph has not commissioned a
geotechnical investigation of the site. In the event that a suitable geotechnical investigation of the
site is not commissioned by the City of St.Joseph, the design will be based on the available
knowledge of site conditions present near the Project.
• The industrial park will not be mass-site graded.As such, grading improvements(and drawings)
will be limited to the proposed streets and storm water treatment ponds.
• The developer will be responsible for designing and commissioning street lighting improvements
within the industrial park.
• The developer will be responsible for commissioning private utility improvements(natural gas,
electricity,telephone, etc.)to serve the industrial park.
• It will not be necessary to design a replacement pumping station or wet well for the DBL Labs
station and the proposed improvements will be limited to minor pump impeller upgrades.
Additional Services:
The following services from SEH are not included in this proposal but, if required, can be provided to the
City of St.Joseph:
• Preparation of environmental documents(mitigation permits).
• Design of street lighting improvements.
• Design of a replacement(DBL Labs)pump station including wet well improvements, electrical,
piping, controls,telemetry, etc.
• Attendance at regulatory agency review meetings.
• Reproduction of deliverables in addition to the scope identified above.
• Construction Phase Services.
We will also furnish such Additional Services as you may request or as required.
You will pay us a fee for our services, currently estimated to be$145,700, including expenses(estimated
to be$1,335), in accordance with Exhibit C-2, Lump Sum Basis method.
Payment for additional services shall be based on the time required to perform the services and the
billable rates for the principals and employees engaged directly on the Project, plus charges for expenses
and equipment, all in accordance with Exhibit C-1.
We will start our services promptly after receipt of your authorization.We estimate our services will be
completed after 6 months. If there are delays in the Project beyond our control, you agree to grant
additional time to complete the services.

Your budgetary limitations for construction of the Project should be provided to us in writing at an early
date.We will endeavor to work within those limitations. Where appropriate, if the estimated cost exceeds
the budget, we will either request an adjustment in the budget or suggest a revision in the extent or
quality of the Project to assist in bringing construction cost back within the budget. We do not guarantee
that our opinions of probable construction cost will not differ materially from negotiated prices or bids. If
you wish greater assurance as to probable construction cost or if you wish formal estimates,an
independent cost estimator should be employed as provided in Section IV.A.of the Agreement and in
Exhibit B.
This letter and the Agreement for Professional Services dated July 1,2006, along with Exhibits A, B, C-1,
C-2, and D represent the entire understanding between you and us in respect of the Project and may only
be modified in writing signed by both of us. If it satisfactorily sets forth your understanding of our
agreement, please sign the enclosed copy of this letter in the space provided below and return it to us.
